Dutch company that markets a proprietary solution on data and information technology directed at in-store consumer promotional activities. Advised company on equity private placement.

Amlin Plc

UK listed commercial insurer focusing on Marine, aviation insurance and reinsurance. Advised the company on its capital raising options in relation to its Bermudian start-up.

Birmingham International Airport Ltd

Advised Bridgepoint Capital on the disposal of its minority stake in Birmingham International Airport to Macquarie Bank. Due to the complicated shareholder agreements, the transaction required detailed negotiations with the other shareholders, Aer Rianta and the Birmingham district councils.

Carepoint Group

Carepoint Group, a network of franchise automotive dealerships in Denmark consisting of 30 dealerships carrying Volkswagen, Seat and Skoda brands. The Group had revenues of approximately Euro 450m, sold 20,000 new cars and serviced more than 135,000 vehicles annually. Advised the company in evaluating strategic options and on the sale of the company.

Denby Group

Advised Phildrew Ventures on the take-private of Denby Group, the branded tableware manufacturer. Advised the client to undertake market share purchases post-announcement of the offer resulting in the offer going unconditional prior to first closing date.

DIAS & Bocom

Danish retail group within the housewares sector and comprising approximately 175 retail stores. Advised owners on merger and on sale process. Transaction very complex given that it involved a simultaneous merger of two voluntary chains and the acquisition of more than 100 separate companies. Project involved the practical creation of a new company with a new operational set-up and strategic orientation. Company sold to Scandinavian private equity firm and became the second Danish voluntary chain to be transformed into a capital chain structure.

Hall Engineering

Advised Candover on the management buy-out of quoted automotive parts manufacturer, Hall Engineering. The transaction was complicated by a rival offer from TT Electronics. Successfully advised the client to pre-empt a potential revised offer from TT Electronics and secure the necessary 'step-up' irrevocable undertakings. This led to TT Electronics withdrawing from the process.

Heath Group / Lambert Fenchurch Ltd

Advised Phoenix Equity Partners, Candover and Electra on the merger of insurance brokers Heath Group and Lambert Fenchurch. This transaction was complicated by the number of parties involved, the necessity to secure debt, mezzanine and additional equity funding and negotiate management arrangements acceptable to both management teams.

Legal & General Plc

Advised leading UK life insurer on its joint venture start-up in India with Bank of Baroda and Andhra Bank. Assisted in negotiating capital requirement and Memorandum of Understanding.

London Luton Airport

Advised Barclays Private Equity on the disposal of its majority stake in London Luton Airport to TBI. Appointed to review the strategic options for the business and initiated detailed negotiations with a prospective purchaser, which ultimately failed. Was then able to quickly secure an alternative bidder in TBI and manage a successful disposal process to a tight deadline.

Matas

Danish retail group within toiletries and cosmetics and comprising approximately 300 retail stores. Initiated project during 2004 and met with potential private equity buyers in the UK and Scandinavia to enter into an arrangement to advice on an acquisition of Matas A/S and all the Matas stores. Advised Altor Equity Partners on their unsolicited offer for the company in late 2005 and later EQT on their offer in the auction of the company in the spring of 2006. Matas became the first voluntary retail chain in Denmark to transform to a capital chain structure and has become a landmark transaction in the European retail industry.

Osteometer Meditech A/S

Danish company with X-Ray devices to detect and monitor osteoporosis. Osteoporosis affects 20% of women after menopause and was previously not curable. In mid 1990s Merck launched Fosamax, a drug that halts the deterioration of bone mass and a market for detecting and monitoring the disease developed. Advised on sale of company to OSI Systems Inc, a US medical equipment company.

Princess BV

Dutch company that markets a leading premium brand of electrical appliances principally in Europe and the middle East. Advised owners on sale of company.

Reply SpA

Advised Reply, a listed Italien IT services company on the acquisition of UK IT service company SOA expert Glue Ltd.

Runcom Technologies Ltd

Company is a pioneer of wireless OFDMA technology, which offers superior performance over traditional Single Carrier (SC) solutions and is a key enabling technology for: (1) Broadband Wireless Access (BWA) and (2) Beyond 3G broadband mobile-phone networks. Advised company on sale of minority stake to institutional investor.

Security Printing & Systems Ltd

Advised Electra on the disposal of Security Printing and Systems (SPS) to Authentos, an Apax Partners backed company. Given the profile of the SPS business and the limited buyer universe, a bespoke disposal strategy was implemented in order to successfully create the necessary competitive tension. Successfully able to secure a price for SPS that far exceeded client expectations.

Subsea Resources Plc

British company listed on AIM which focuses on marine exploration marine salvage operations particularly of copper, zinc and other semi-precious metals. Advised company on secondary debt offering.

Syskoplan AG

Advised Syskoplan AG, a listed German IT services company on its acquisition of IT services company Xuccess GmbH.

Texton Polaris Ltd

Company is a leading wholesaler of small home appliances, room heaters and consumer air conditioning products in Russia and based in Moscow. Advised owners on sale of business.

Tornos Bechler AG

A Swiss company and a world leading manufacturer of high performance automatic lathes for the production of precision turned parts. Machines sold to industry sectors including automotive, electronics/ telecommunications and watch manufacturing. Company was going through a restructuring and development phase in which a new range of computer controlled machines were developed and introduced. Advised on acquisition of company by Doughty Hanson & Co.

Umbro Holdings Ltd

Leading marketer and full line supplier of branded and licensed soccer products including uniforms, footwear and sports casual wear. Licensed products consist of apparel and equipment carrying the logo of Umbro sponsored teams such as Man United, Chelsea FC and The England Team. Advised on buy-out from a privately owned US textile company (Stone Manufacturing Company) by Doughty Hanson & Co.

UPF Group

Advised Phildrew Ventures on the management buy-out of quoted automotive parts manufacturer, UPF Group. The transaction was innovative as the major shareholders of UPF Group agreed to sell their shares conditional upon the bidding vehicle being able to secure at least a 90 per cent. shareholding through other conditional share purchases.
